This Dealer Agreement is between the business identified in the dealer-account application ("Dealer", "you") and Timelapse Games EOOD ("Hifiverse").
You may apply for a dealer account if:

Alliance dealers receive API access (10,000 calls/month) and a dedicated dealer success manager. Enterprise dealers receive a white-label option, SLA, and custom call allowances.
Before we activate your dealer account we collect the information required by DSA Article 30 and DAC7:
We retain this information for the duration of the dealer relationship and, after termination, for the period required by DSA Article 30(5) (minimum 6 months) and DAC7 (5 years from the end of each reportable period).
Hifiverse charges no commission on Marketplace transactions. A dealer pays Hifiverse a flat subscription fee. This commitment runs to at least 2030. If we change it after 2030: 90 days' notice, optional rather than mandatory at first introduction, no retroactive application.
You are not required to keep transactions on the Platform's messaging system. You may complete sales on your own website, by phone, by email or in person. You are not required to use a Hifiverse-branded payment processor.
You warrant, for each listing, that you have all permissions and licences required by the brand owner, manufacturer or official distributor to advertise and sell the item.
You may use the brand name and model name in the listing in line with normal trademark fair use, but may not use brand logos as if you were the manufacturer's authorised dealer when you are not.
Manufacturers may submit notices under the Notice-and-Action / Copyright / DSA Policy if they believe a listing violates their rights. Notices must comply with DSA Article 16(2) to be acted on.
You indemnify Hifiverse against any claim by a manufacturer, distributor or IP rights holder arising from a listing that breaches this section.
The dealer-storefront feature lets you publish a full-page, branded presence on hifiverse.io. Alliance adds custom storefront sections, video uploads, multi-location support and a dedicated subdomain option (yourdealer.hifiverse.io).
Storefront content rules:
When a buyer contacts you through a listing or your storefront, the lead is routed to your registered email and any additional addresses or webhooks you configure.
The trade-in widget is a Hifiverse-hosted JavaScript snippet you may embed on your own website. The widget shows the Hifiverse Price Index value for equipment the visitor declares and routes the lead to you. You agree that:
Alliance subscribers receive 10,000 API calls/month for inventory synchronisation. Enterprise subscribers receive a higher limit defined in the order form. API access is governed by the API Terms of Use & Developer Agreement.
Featured-listing credits boost a listing to the top of relevant search results for a defined window. Unused credits do not roll over and have no cash value.
Alliance subscribers receive a dedicated dealer success manager who runs quarterly review calls covering listing health, lead conversion, inventory mix and storefront optimisation.
Enterprise subscribers receive an SLA defined in the order form, including target uptime, response and resolution times for critical incidents, and dedicated escalation paths.
Where you sell to an EU/EEA/UK consumer, those laws apply to your contract of sale. In summary:
Failing to honour consumer rights is grounds for buyer complaints to local consumer authorities and, where the pattern repeats, grounds for Hifiverse to suspend or terminate the dealer account.
Disputes between you and a buyer are between those parties. Hifiverse may pause the listing or the lead routing while you resolve the matter; request information from both parties; and in clear cases of fraud, suspend or terminate the dealer account.
Dashboard and analytics data is provided for your internal business use, may not be redistributed, resold or shared outside your organisation, and may not be used to train external machine-learning models.
You may terminate at any time. Monthly subscriptions: effective at the end of the current cycle. Annual subscriptions: effective at the end of the current annual cycle (non-refundable except per the Subscription Agreement). Enterprise: as per the order form.
Material breaches include: repeated counterfeit or stolen listings; repeated mis-grading; repeated failure to honour consumer rights; failure to provide KYC information; non-payment; breach of Acceptable Use Policy.
We may also terminate without cause on 30 days' written notice, in which case we refund the unused portion of any annual subscription fee on a pro-rata basis.
On termination: dealer account closed, storefront taken offline, active listings removed from public view, data exported on request within 30 days. KYC information retained per DSA Article 30(5) and DAC7.
For Partnership and Alliance subscriptions, we give at least 30 days' notice of material changes. The "no commission, ever" commitment follows the special procedure in section 5: 90 days' notice, optional not mandatory, no retroactive application.
18.1 Independent businesses. Nothing in this agreement creates an agency, partnership, joint venture or franchise.
18.2 Assignment. You may not assign without our written consent except in connection with the sale of substantially all of your business.
18.3 Governing law. Bulgarian law. The exclusive forum for B2B disputes is the Sofia City Court (Софийски градски съд), Sofia, Bulgaria.
18.4 Languages. English. We can supply a non-binding translation in German, French, Italian, Spanish, Dutch or Russian on request. The English version prevails.
